Important Notes:

• Commission percentages automatically increase as you cross each referral threshold.
• Upon reaching a new tier, the increased rate applies to all existing and future active referred accounts.
• If your active client count decreases below a tier threshold, your commission percentage may adjust accordingly.
• Commissions are calculated monthly and paid after SOCIAL1M receives payments from your referred clients.

3. SOCIAL1M’s Responsibilities

SOCIAL1M will handle all essential client-related processes:

• Proposals, pricing, and agreements
• Client onboarding, setup, and deployment of services
• Payment collection from clients
• Ongoing client management and support
• Commission tracking, reporting, and monthly payouts

4. Affiliate Responsibilities

As an affiliate, you agree to:

• Promote SOCIAL1M services professionally and ethically.
• Avoid making unauthorized claims or guarantees regarding SOCIAL1M’s services.
• Promptly update SOCIAL1M with accurate contact and payment details.

5. Prohibited Activities

Affiliates are strictly prohibited from:

• Engaging in spam, unethical, or deceptive marketing practices.
• Misrepresenting affiliation or implying endorsement by SOCIAL1M without authorization.
• Unauthorized use or duplication of SOCIAL1M’s proprietary content, branding, or materials.
• Sharing sensitive client data without explicit consent.

Violation may result in termination from the program and forfeiture of any unpaid commissions.

6. Independent Contractor Status

You acknowledge and agree that as an affiliate, you operate independently. This agreement does not establish an employee, partnership, or agency relationship between SOCIAL1M and affiliates. Affiliates are solely responsible for their own taxes, business expenses, and legal obligations.

7. Termination Policy

• Either SOCIAL1M or the affiliate may terminate this agreement at any time by providing written notice.
• Upon termination, no new referrals will be accepted.
• Commissions will continue for active referred accounts unless termination results from violation of these terms.
• Breaches of this agreement may result in immediate termination and forfeiture of unpaid commissions.

8. Modifications

SOCIAL1M reserves the right to update or amend these Terms & Conditions as necessary. Affiliates will be notified via email or affiliate portal. Continued participation indicates acceptance of any revised terms.

9. Arbitration Clause

In the event of any dispute relating to this Affiliate Program or these Terms & Conditions, both parties agree to first attempt resolution amicably. Should resolution fail, parties agree to binding arbitration through the American Arbitration Association (AAA), following their Commercial Arbitration Rules, with arbitration held in Orange County, California. Both parties waive the right to trial by jury and class-action participation. Affiliates reserve the right to pursue disputes under $10,000 via small claims court in Orange County, California.

10. Governing Law

These Terms & Conditions shall be governed by the laws of the State of California, with arbitration or small claims actions held in Orange County, California.
